Welcome to e86 ERP. These Terms and Conditions ("Terms") govern your access to and use of the e86 ERP system and services ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
Important: If you do not agree to these Terms, you must not access or use the Platform.
2. Description of Services
e86 ERP is a comprehensive Enterprise Resource Planning system that provides:
- Human Resources Management: Employee profiles, performance reviews, time & attendance, leave management
- Payroll & Accounting: Payroll processing, invoicing, expense tracking, financial reporting
- Project Management: Task tracking, project planning, team collaboration
- Inventory Management: Stock tracking, asset management, requisitions
- CRM: Customer relationship management and sales tracking
- Document Management: Secure file storage and sharing
- Analytics & Reporting: Business intelligence and data visualization
3. Account Registration and Security
3.1 Account Creation
Your organization's administrator will create user accounts. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Choosing a strong, unique password
- Enabling multi-factor authentication when available
3.2 Account Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- Your organization's subscription expires or is cancelled
- We detect fraudulent, abusive, or illegal activity
- Required by law or regulatory authority
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Platform solely for legitimate business purposes within your organization.
4.2 Prohibited Activities
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Access or attempt to access another user's account without authorization
- Interfere with or disrupt the Platform's operation or security
- Use automated systems (bots, scrapers) without permission
- Upload malicious code, viruses, or harmful content
- Reverse engineer, decompile, or disassemble the Platform
- Share your account credentials with unauthorized persons
- Use the Platform to store or transmit illegal or harmful content
- Attempt to bypass security measures or access controls
- Engage in data mining or data harvesting without authorization
5. Data Ownership and License
5.1 Your Data
You retain all ownership rights to the data you input into the Platform ("Customer Data"). You grant us a limited license to use, process, and store Customer Data solely to provide the services.
5.2 Platform License
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Platform for your organization's internal business purposes.
5.3 Intellectual Property
The Platform, including its design, features, source code, and documentation, is owned by e86 and protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Platform.
6. Service Availability and Support
6.1 Uptime
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

6.3 Updates and Modifications

- Providing valid payment information
- Paying any applicable taxes
Late payments may result in service suspension. Fees are non-refundable except as required by law or specified in your subscription agreement.
8. Data Privacy and Security

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Platform is provided "AS IS" without warranties of any kind
- We are not liable for indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by your organization in the 12 months preceding the claim
- We are not responsible for data loss due to user error, system failure, or third-party actions
Note: Some jurisdictions do not allow liability limitations, so these may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless e86, its affiliates, and personnel from any claims, damages, losses, or expenses arising from:
- Your violation of these Terms
- Your misuse of the Platform
- Your violation of applicable laws or third-party rights
- Your Customer Data or content
11. Confidentiality
You acknowledge that the Platform may contain confidential and proprietary information. You agree to:
- Maintain the confidentiality of system features and functionality
- Not disclose trade secrets or proprietary information
- Protect other users' personal and business information
12. Compliance with Laws
You must comply with all applicable laws and regulations when using the Platform, including but not limited to:
- Data protection and privacy laws (GDPR, CCPA, etc.)
- Employment and labor laws
- Tax and financial reporting requirements
- Anti-corruption and anti-bribery laws
- Export control regulations
13. Dispute Resolution
13.1 Governing Law

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
